Job Description/Responsibilities:


Perform corporate secretarial/ corporate administration tasks for European companies, including, but not limited to, the following:


· Performing corporate secretarial tasks for Luxembourg & UK companies (including, but not limited to, corporate changes, drafting of agreements, audit processes’ support, register updates, quarterly board meetings).

· Co-ordination and management of quarterly board meetings, shareholders meetings for UK & Luxembourg companies.

· Incorporation of new entities in Luxembourg and UK.

· Coordinating and managing the liquidations and associated legal documents for Luxembourg or UK registered entities.

· Filings with the Trade Registers in Luxembourg and UK as appropriate.

· Contributing, to regular regulatory reporting under EU Law, such as DAC6 and any disclosures required for the depository as needed.

· Track and monitor the accuracy of the legal documents including but not limited to Service Agreements, Share Purchase Agreements, other legal agreements (signature, date, corporate details etc.).

· Prioritize business and information needs for Reporting purposes by planning and coordinating the tasks with the other members of the team.

· Help to maintain the company database and assist in the digital archiving process.

· Monitor the accuracy and accessibility of legal and corporate documents digital format.

· Assist in the development and implementation of processes and automation projects.

· Be able to navigate easily through corporate and property documents of different jurisdictions, so as to answer Reporting requests for European entities.

· Able to take direction and ask questions.

· Strong organizational skills.

· Eye for detail.

· Resourcefulness.

· Excellent communication skills.

· Fluent English, any other language will be an advantage.

· Proficient with MS Office standard applications.

· Experience with database, document management and tracking systems.

Mandatory Skills: Financial Planning & Analysis .
