Job Description
The role of Lead Analyst in Finance & Regulatory Compliance shall encompass various tasks including, but not limited to, the following:
Managing and taking responsibility for the provision of a comprehensive company secretarial and governance service to in house entities as well as investment funds under management across various jurisdictions in EMEA
Advising senior stakeholders, directors, committee members and functional leads on a wide range of company law, regulatory and governance issues
Actively participating in corporate projects, such as intra-group transfers, company formations, liquidations
Supporting and enhancing the governance frameworks as well as implementing controls and effective corporate governance practices
Maintaining authorised signatory lists and list of mandates of company directors as well as coordinating and performing controls on signature requests
Assisting on day-to-day corporate legal matters including commercial contract/engagement letter reviews
Developing our procedures for commercial contract/engagement letter review and coordinating with external counsel supporting these reviews
Organising and attending periodic and ad hoc shareholder, board and committee meetings as well as preparing agendas, supporting documents, producing/reviewing minutes and action points for such meetings
Providing corporate data for KYC purposes
Continuing to evolve technology and digital processes relating to the company secretarial function and providing any necessary enhancements.
Assisting with the production of relevant policies and procedures including the development of a knowledge bank
Developing and maintaining relationships with functional leads and business partners across EMEA, e.g. Compliance, Finance, Internal Audit and Risk
Acting as first point of contact external stakeholders (including legal counsel, transfer agent, notaries etc.)
Monitoring changes in relevant legislation and the regulatory environment and ensuring that entities are compliant with applicable laws/regulations.
4+ years of previous experience of working in a company secretarial function within financial services, professional services or a multinational organisation, or corporate law expertise gained in a law firm or an in-house environment. You are willing and looking to consolidate and grow your skills and talents in the long term with a company that works in a strong team and results-based environment. You speak English fluently and bring on table:
- Good exposure to finance compliances
- Good knowledge of corporate law/corporate governance/applicable financial regulations
- Knowledge of the regulatory and corporate environment for Irish/Luxembourg funds
- Management and leadership skills are desirable
- Hands on experience of providing basic financial services
- Proficiency in using MS Office Suite
- Experience in working with different teams and platforms
- Experience in writing compliance memos and preparing compliance reports a requirement
- Ability to perform email/phone outreach to relevant stakeholders and engage on discussions related to quality of assessment output
- Ability to work independently as well as be a team player
